A
thousand questions raced through my mind. And my last
concern was whether my corporate records were in order. Was I in for a shock.
|
|
Hello, my name is Jim Solomon. I tell you this story in the hope that
you will avoid the legal hell I went through. It was quite frankly,
terrifying. There I was, powerless, as a lifetime of hard
work and accomplishment and years of friendships and all the
dreams I had for my children were all but flushed down the toilet.
And why? |
| |
For what you might call "the
most ridiculous thing in the world." I surely called it that
in the beginning. I figured that no matter what the rough
and tumble of business brought...
|
- My family would be shielded.
- My personal assets would be shielded.
- My investments would be shielded.
|
| Well, you may recall the famed Maginot
Line that was supposed to shield France from the Germans in
WWII. Everyone thought it invincible...until the Germans
flanked it. |
| |
| The fact is, I never had a clue about
corporate rules. I remember being so excited to pick up my fancy
corporate binder with my company name stamped in gold. Yet three
years later I hadn't added a single sheet of paper to
it. And now that it mattered, it was too late to lay a paper
trail. |
| |
| So there I stood with my kimono wide
open to anyone who wanted to take a swing at me. And swing they
did. I ended up paying a fortune in legal bills and settlement
costs that nearly wiped me out and sure put my family through
the wringer. |
| |
| You're probably standing
where I was, kimono wide open. |
| |
| Statistically, 7 in 10 entrepreneurs
and investors don't know the facts about owning a business
in these litigious times: |
|
| Fact #1 ~ As the
owner of a corporation, whether C, S, or LLC, you are required
by your State to document every major business activity. |
| |
| Fact #2 ~ If your
corporate records are not in order and you are sued, the court
does not recognize you as a legal entity. You lose all liability
protection and tax benefit. |
| |
| Fact #3 ~ You have
a 1 in 3 chance of being sued this year, based on the 21 million lawsuits filed last year.
If it happens to you, the odds of having personal property seized are as high as 50% to 90%
(Ref: Cornell Law Review). |

|
| Do you keep the records you'll
need to protect your family? And if you do spend the hours and hours
required to keep accurate records, is this how you want to be
spending your time? |
| |
| If you're like me, paperwork
burns your hide. So in my next company, I played
it safe. I hired a para-legal at $5,000 a month to deal with
the corporate housekeeping. I was stunned to see how much paperwork
we generated when we actually did it all. But ouch, another
employee at $5,000 per month? |
| |
| That's when I began to think--there
ought to be an easier way. But it wasn't until I caught the
flu and was bedridden for a week that I figured out a solution...
|
| |
| I was flipping through daytime TV channels,
and every other commercial was for some shyster lawyer.
Each one was doing his best to convince the gullible and
the grieving that they're "entitled" to the
assets of hardworking people like us! |

If you're in business, you've got
a bulls-eye painted on your back.
|
| Lawsuits come out of the blue.
It doesn't matter if you've done anything
wrong. It matters only that
you have assets. It's amazing all the ways they
can attack... |
| An employee causes an accident ... .. you give some advice that results in injury ... a defect
is discovered in a product you sold ... you're accused
of malpractice ... and on and on. Every day some new legal
precedent paints another bulls-eye on your back. |
| |
| Nearly 150 lawsuits are launched
every minute. Many are pure blackmail--attempts to squeeze
money from the successful few. Here's some more proof
of that: |
| |
| A Duke University study found that 19% of people who
were fired turned around and sued their boss, and a whopping 71% considered filing
a claim--presumably in hopes of hitting the lawsuit
lottery! It's a bloody crime, in my opinion. But
as wrong as it is, it's not even the
greatest threat we face. |
|
Wait until you sit across the table
from an IRS agent without having bothered to keep your corporate
formalities. Right before your eyes, your "bulletproof"
corporation becomes a flimsy house of cards disintegrating into
a pile of worthless paper at your CPA's feet. |
| |
| Watch in stunned amazement as your
previously articulate accountant (I swear he spoke English when
we walked in) suddenly develops a speech impediment as one by
one your corporate deductions are wiped out. |
| |
| Unless you keep your corporate records
neat and tidy, your expensive "corporate shield"
becomes just one more flimsy gold stamped cheap vinyl binder
to give to the kids to play with. Just ask any of the thousands
of people who have lost fortunes. |

|
| My own legal catastrophe
inspired the most "obvious" solution. |
| |
| As I was saying, after being put
through the ringer and watching those ambulance chaser ads on
daytime TV, I came up with a solution that was so obvious and
simple, I was amazed no one had thought of it. |
| |
| The solution: Take all the
corporate forms that are required in each State, place
them in a database and use internet technology to automate
the whole process of filling out all the forms on time,
as required. After all, isn't that what computers
do well? |
| So it was that was born.
Simply put, we ensure that you stay on top of your corporate
housekeeping. And the way we've priced this, there's
no reason to leave yourself "exposed" another
day. |
| With MyCompanyRecords on your
side, your corporation will be rock solid, up-to-date,

source of vulnerability, worry and work. You'll
be covered. Period. |

| No more playing the "manana"
game surrounded by lawyers and litigants. |
| |
| Right this minute, there may be someone
eyeing you, eyeing your nice home, eyeing your successful business...and
thinking about your "deep pockets" and how to sue
you. |
| |
| The employee who just stomped out
of your office. The cleaning people who come in at night. The
partner who made an unwise investment in your name. The list
gets longer as you get more successful. If you're in business,
you're a target. It doesn't matter if you have a C Corp,
S Corp or LLC, the courts are now regularly going after personal
assets to satisfy business judgments. |
| |
| Or what about the wealth you will be acquiring in coming years--do you want a personal judgment following you around for years, spoiling your success? |
| |
| MyCompanyRecords service helps you stand tall and confident with personal liability protection that's rock-solid, no worries. It's the best insurance policy you can own.

| I can save hundreds, even thousands of dollars in legal fees every year, just from the bonus forms, contracts and agreements. I can't imagine a business owner who doesn't need this service. |
Beryl Wolk, Founder of Beryl's World
|
| As a big-company CEO, I had teams of attorneys to handle all the paperwork the State requires. But as a small businessman, I use MyCompanyRecords because it's simple, cheap, and sane. |
Charlie Weber, former CEO of LucasFilm
|
| I wasn't keeping records or holding corporate meetings, as required by the IRS. Because I failed to do so, when my company was randomly audited by the IRS they disallowed my corporate status. Nothing was protected. All my business and personal financial holdings were theirs for the taking. |
Dave Cowen, Former owner of Unique Expressions
|
| I'm a big fan of this service. A couple of years ago I spent almost $10,000 in fees to clean up some back records I didn't even know I needed to keep. And it could have been worse -- I almost lost a key deal with PBS. Every business needs this protection. |
David Braun, CEO, David Braun Productions, Inc.
|
| We spent a fortune to protect Paramount and preserve their corporate veil. For my own business, I need what MCR offers and I'll tell all my clients they do too. It's a great value. |
David Cuyler, former Executive Vice-President, Paramount Home Entertainment
|
| Once litigation has commenced, it's too late to hurriedly create past records. In today's litigious environment, I recommend this service to any company owner, officer or director. |
David Hunt, Attorney
|
| Our lawyer quotes us '10 hours' of billable time to catch us up on years of non-compliance. No way was I going to pay thousands! But along came MyCompanyRecords with their internet technology priced at pennies a day and no way could I NOT put my records in order. Why risk some lawyer trying to pierce my corporate veil and attack my family? No way! |
David Lewine, former VP of Marketing, Jane Fonda Health and Fitness
|
| Rely on MyCompanyRecords to protect yourself from dangerous legal attacks or IRS exposure. I rely on them. |
Doug Martin, former President of Tupperware, NA, former CEO of Primerica
|
| I love this idea! I'm delighted to recommend it to all of our members. |
Greg Anderson, Director, Crown Council
|
| I hate paperwork -- I'd rather shovel the latrine. Plus time is valuable -- why spend it filling out forms? So I signed up with MyCompanyRecords in a snap. They take away all the drudgery. A couple minutes a month, I'm legally protected. |
Lee Troxler, President, eMarketing Messages
|
| Why would any small business NOT sign up? The cost is so low and the value of protection is so high. I don't want to waste my time worrying about corporate records and I know what lawyers and accountants will charge me to do this. Count me in. |
Martin Winkler, President, RopeSport, LLC
|
| I went through a bitter divorce. My husband's attorney argued that my corporation was not in compliance with Federal laws because I had not kept accurate records, as required. Because the judge dissolved my corporation, my business holdings were ransacked, I had to shut my company down, and I was in financial ruin. |
Patrice Jones
|
| We do international freight forwarding for very demanding companies. This is a highly regulated business. Any paperwork problems create a nightmare. We need total compliance. MyCompany Records is a slamdunk winner. |
Paul Lippe, Senior Vice-President, Western Overseas Corp.
|
| I manage the careers of a lot of high profile recording stars. I can't afford any slip ups in record-keeping. This is very low cost/high benefit insurance for me and my clients. |
Ron Stone, President and CEO, Gold Mountain Entertainment, Inc.
|
| As a VC, I spend most of my time on due diligence. The fun part is learning the 'story' of the company and seeing the passion and experience of management. That takes two days. The other three months involves scouring the financials, contracts and written records. If the company doesn't have it in writing, it doesn't stand a chance of getting funded. It's that simple. |
Russ Sewell, Managing Partner, Aspen Grove Capital Group
|
| We have a tightly-held family corporation and we thought we were the last people to need MyCompanyRecords, until we learned that we need it MUCH MORE than big companies. If we don't have a solid paper trail, we easily fail the 'alter ego doctrine' and lose all protection. |
Thurl Bailey, former NBA Player, successful entrepreneur
